Platform Terms of Use

These Platform Terms of Use (“Terms”) are a binding agreement between JobsiteX, Inc., a California corporation (“Jobsite X,” “we,” “us”), and the person or entity accessing the Jobsite X mobile application, website, communications tools, and related services (the “Platform”). By creating an account, clicking acceptance, or using the Platform, you agree to these Terms.

If you use the Platform for a company, you represent that you have authority to bind it. The Motor Carrier & Platform Services Agreement, Individual Driver Addendum, Customer/Shipper Agreement, Load Confirmation, Privacy Policy, SMS terms, and other policies that apply to your role are incorporated by reference. A signed role-specific agreement or Load Confirmation controls over these Terms to the extent of a direct conflict.

1. Platform role

The Platform lets users post, find, coordinate, document, and pay for construction-hauling opportunities. Jobsite X does not own or operate commercial motor vehicles, does not employ or supply drivers, does not take possession of cargo, and is not a motor carrier. Independent motor carriers — not Jobsite X — control and perform transportation.

For each job, the Load Confirmation states whether Jobsite X is acting as a disclosed property broker or only providing technology and referral services while the customer and carrier contract directly. Labels do not override applicable law.

Jobsite X does not guarantee the identity, authority, insurance, solvency, safety, equipment, conduct, quality, availability, price, or performance of any user. A check or badge means only that specified information passed our stated process at a point in time.

2. Eligibility and accounts

You must be at least 18 and able to enter a contract. Drivers must meet the age, licensing, medical, and qualification rules that apply to the vehicle and service. Keep your information accurate and current.

You are responsible for credentials, authorized users, and activity under your account. Do not share individual credentials, impersonate anyone, create fraudulent accounts, or let a suspended person use the Platform. We may request identity, authority, insurance, tax, safety, banking, vehicle, or driver information, and may withhold, limit, or end access when information is missing, expired, inconsistent, or indicates legal, safety, fraud, payment, or reputational risk.

3. License and restrictions

Subject to these Terms, Jobsite X grants you a limited, personal or internal-business, nonexclusive, revocable, nontransferable license to use the Platform for its intended purpose. We and our licensors retain all rights in the Platform.

You may not reverse engineer, scrape, index, mirror, resell, overload, or bypass security of the Platform except as the law allows. You may not use Platform data to build a competing database, target users outside an authorized job, or train an AI system without our written approval.

4. User content

You keep ownership of content you submit — job details, photos, messages, tickets, and delivery evidence. You grant Jobsite X a worldwide, nonexclusive, royalty-free, sublicensable license to host, copy, process, display, transmit, and use that content to operate, secure, support, improve, and document the Platform and transactions, enforce agreements, and comply with law.

Do not upload confidential information unrelated to a job, protected health information, payment-card data in free text, or content that infringes rights.

5. Fees and payments

You agree to pay the fees, transportation charges, taxes, accessorials, cancellation amounts, and other charges shown in the Platform, the applicable agreement, or the Load Confirmation. You authorize Jobsite X and its payment providers to store payment tokens and charge or debit the selected method for authorized amounts.

Payment processing is provided by third parties and may have separate terms. We may correct errors, issue or deny credits under published policy, place reasonable reserves, offset amounts that are undisputed or finally determined, and suspend accounts for nonpayment, subject to mandatory payment laws.

6. Communications, location, and electronic records

Operational emails, push notifications, and calls may be needed to create accounts, verify identity, coordinate loads, give safety notices, prevent fraud, and service transactions. Account texts are limited to login codes and invites. Marketing consent is optional and separate. See the SMS terms and E-Sign & Communications Consent.

If you enable location services, we may collect device location as described in the Privacy Policy. Location is informational. It does not transfer control of transportation, routes, hours, driving decisions, loading, or equipment to Jobsite X.

7. Acceptable use and safety

Comply with the Safety & Acceptable Use Standards and applicable law. Do not use the Platform while driving except through lawful hands-free operation. In an emergency, call 911 before contacting Jobsite X.

The Platform is not an emergency, dispatch-command, routing, engineering, or safety-management service. Map, route, weight, clearance, weather, and site information may be incomplete. You remain responsible for independent verification.

8. Third-party services

The Platform may link to maps, payment, identity, insurance, or other third parties. Their terms are separate. Jobsite X is not responsible for third-party products, outages, data, or directions except as the law requires.

9. Disclaimers

To the maximum extent permitted by law, the Platform is provided “as is” and “as available.” Jobsite X disclaims express, implied, and statutory warranties, including merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, and results.

We do not warrant uninterrupted or error-free operation, that a load will be posted, accepted, completed, paid, or profitable, or that users will perform as expected. Each user assumes the risks of transacting with independent third parties.

10. Limitation of liability

To the maximum extent permitted by law, Jobsite X and its affiliates, directors, officers, employees, agents, and licensors will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages; lost profits, revenue, data, use, goodwill, or business; or third-party conduct, even if advised of the possibility.

Except for amounts Jobsite X expressly owes under a signed broker or payment agreement, our aggregate liability arising from the Platform will not exceed the greater of (a) fees you paid to Jobsite X during the six months before the event or (b) $500. These limits do not apply where prohibited.

11. Indemnification

You will defend, indemnify, and hold harmless Jobsite X and its affiliates, directors, officers, employees, agents, licensors, and payment providers from claims, losses, liabilities, penalties, fines, judgments, damages, costs, and reasonable attorneys’ fees arising from your content, account, breach, violation of law, negligence or willful misconduct, transaction, cargo, vehicle, personnel, jobsite, injury, death, or property damage, taxes, or infringement of rights.

This applies only to the extent caused by you or persons for whom you are legally responsible, and does not require indemnity for an indemnitee’s sole gross negligence or willful misconduct where the law forbids it.

12. Suspension and termination

You may stop using the Platform and request account closure, subject to outstanding jobs, records, and obligations. We may suspend or terminate access immediately for safety, fraud, illegality, expired authority or insurance, payment risk, misuse, serious complaints, or breach, and otherwise on reasonable notice where practicable.

Provisions concerning payment, data, intellectual property, disclaimers, liability, indemnity, disputes, and accrued rights survive termination.

13. Dispute resolution

Before filing a claim, send a written notice describing the claimant, facts, requested relief, and transaction to legal@jobsitex.com and allow 30 days for an informal conference. Limitation periods are tolled during that period.

Except for individual small-claims matters, requests for emergency injunctive relief concerning intellectual property, confidential information, or account security, and claims the law makes nonarbitrable, disputes will be resolved by binding individual arbitration administered by JAMS. The Federal Arbitration Act governs where it applies; otherwise the California Arbitration Act supplies the arbitration law to the maximum extent enforceable. Arbitration will occur remotely or in the California county where the individual resides or works unless the parties agree otherwise.

No class, collective, consolidated, or representative arbitration is permitted to the maximum extent allowed by law. Each party waives a jury trial. You may opt out of arbitration by emailing legal@jobsitex.com within 30 days after first acceptance, identifying yourself and stating an unequivocal election to opt out. Opting out does not affect Platform access.

Transportation workers may fall within the Federal Arbitration Act section 1 exemption. A court — not the arbitrator — decides any challenge to the class-action waiver or that exemption.

14. Governing law

California law governs without regard to conflict principles, except federal law controls where it applies. For disputes not subject to arbitration, the parties consent to state and federal courts in Sonoma County, California, unless nonwaivable law requires another forum.

You may not assign these Terms without our written consent. We may assign them to an affiliate or successor. These Terms do not create employment, agency, partnership, joint venture, franchise, fiduciary, or joint-employer relationships.

15. Changes and contact

We may update these Terms prospectively. Material changes will be presented by email, in-app notice, or renewed click acceptance as appropriate. Changes do not retroactively alter an accepted Load Confirmation unless the parties expressly agree.
